Dalian Friendship Group Co., Ltd. was founded in 1958 as Dalian ocean shipping service company. In 1988, it was renamed as Dalian foreign supply company. In 1992, it was approved by Dalian first commercial bureau to establish Dalian Friendship Group Company. In 1993, with the approval of Dalian Municipal Commission of economic restructuring, it was transformed into a wholly state-owned company. Dalian municipal government authorized friendship group to operate state-owned assets.

In 1993, friendship group initiated the establishment of Dalian Friendship (Group) Co., Ltd. in November 1996, China Securities Regulatory Commission approved Dalian Friendship (Group) Co., Ltd. to publicly issue 35 million A-shares. In January 1997, it was listed on Shenzhen stock exchange for trading. In 2004, friendship group was listed as an enterprise supervised by the state owned assets supervision and Administration Commission of Dalian Municipal People's government.

In January 2006, Dalian Friendship Group Co., Ltd. was changed from a wholly state-owned company to a state-owned relatively holding limited liability company with a registered capital of 177.4071 million yuan. The shareholders of the company are: 30% of the state owned assets supervision and Administration Commission of Dalian, 27% of Dayang Group Co., Ltd., 26% of Dalian Yifang Real Estate Co., Ltd., and 17% of Dalian United Guarantee Co., Ltd.

In February 2010, Dalian state owned Assets Management Co., Ltd. transferred 17% of the shares of Dalian Friendship Group Co., Ltd. to Dalian ADA seafood breeding Co., Ltd. so far, Dalian Yifang real estate, Dayang Group Co., Ltd., ADA seafood and Dalian jiaweide investment have held 34.4%, 32%, 17% and 16.6% of the shares of friendship group respectively.
